Indemnification
You agree to hold harmless, defend, protect, and indemnify Apocor, its affiliates, and their respective directors, employees, officers, agents, successors, and assigns from and against any and all losses and claims (including any fines, penalties, reasonable attorneys’ fees, court costs and expenses, and amounts paid in settlement) incurred by Apocor and arising out of or relating to: (a) your breach of these Terms of Use; (b) your use of the Apocor Website; (c) any actual or alleged infringement, violation, or misappropriation of a third party’s intellectual property or proprietary rights; (d) your negligent acts or omissions, fraud, or intentional misconduct; or (e) any violation of applicable law by you or caused by you. You will cooperate fully, as reasonably required, in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.
Governing Law and Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
Except as otherwise agreed between the parties, any claim or dispute arising out of or in connection with these Terms of Use — including its interpretation, validity, or existence — that cannot be resolved informally shall be referred to and finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in force. The seat and location of arbitration shall be New York, New York. The number of arbitrators shall be one, appointed by agreement between the parties. The arbitration shall be conducted in English.
If any provision of these Terms of Use is determined by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted so as to give effect to the intent of these Terms of Use, and the remainder of these Terms of Use shall continue in full force and effect. Except for the Privacy Policy, these Terms of Use constitute the entire agreement between you and Apocor with respect to the Apocor Website, and supersede all prior communications, understandings, arrangements, or agreements.
The Apocor Website is not directed to any person in any jurisdiction where its publication, availability, or use would be contrary to applicable law or regulation.
